These factors and others must be considered when preparing or signing a non-compete agreement.

Sometime a new employer wanting a way out for the new employee will suggest that the former employer broke the agreement so that it is no longer valid. This is actually possible but could also result in some pretty substantial problems for the new employer if they just take this position without first seeking legal council.
